Terms of Service

Last updated: 6 July 2026

These terms govern your use of CountProof, an inventory and order synchronisation service operated by Benjamin Horne (sole trader, Australia; ABN 49 452 393 782). By installing or using CountProof, you agree to them.

1. The service

CountProof synchronises stock quantities and imports orders across the sales channels you connect (such as Shopify, eBay and Amazon). You are responsible for connecting your own accounts and for mapping your products correctly; CountProof surfaces unmapped items rather than guessing.

2. Your responsibilities

3. Billing

Subscriptions are billed through Shopify's billing system on a recurring basis at the plan price shown at signup, following any free trial. You can cancel anytime from your Shopify admin; on cancellation, access continues until the end of the current period. Founding-member pricing, where offered, is honoured for the stated duration.

4. Service availability & accuracy

We work hard to keep syncing accurate and timely, including reconciliation sweeps that detect and correct drift. However, third-party platform APIs can fail, rate-limit, or return incorrect data outside our control. CountProof is provided on a commercially reasonable-efforts basis and is not guaranteed to be error-free or uninterrupted. You remain responsible for your final stock and fulfilment decisions.

5. Limitation of liability

To the maximum extent permitted by law, CountProof and its operator are not liable for indirect, incidental, or consequential losses (including lost sales, oversells caused by third-party API failures, or marketplace account actions). Our total liability for any claim is limited to the fees you paid in the three months preceding the claim. Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot lawfully be excluded.

6. Data

Our handling of your data is described in our Privacy Policy, which forms part of these terms.

7. Suspension & termination

You may stop using CountProof and uninstall at any time. We may suspend or terminate access for breach of these terms or misuse that risks the service or other users. On termination we handle your data as described in the Privacy Policy.

8. Changes

We may update these terms; material changes will be communicated by email to connected merchants, and the date above will be revised. Continued use after changes means acceptance.

9. Governing law & contact

These terms are governed by the laws of Victoria, Australia. Questions: ben@countproof.com.
